Terms & conditions of the application TAMALOU

1 PREAMBLE

1.1 TAMALOU developed and published an application called TAMALOU, aiming at helping caregivers of dependent persons (elderly persons, persons suffering from chronic illnesses). The application is intended to help the ring of caregivers to improve the flow of information and reduce the organizational burden linked to this assistance. The ring of caregivers includes caregivers and potential auxiliaries.

1.2 To this end, the application provides (i) tools spreading out several tasks needed by the care receiver between caregivers, (ii) a tool of private room shared by caregivers, (iii) forums for open discussions between users of the application, (iv) the possibility of receiving emails of the care receiver and, (v) documents storage.

1.3 The application is available on iOS and Android devices.  

 

2 OBJET ET ACCEPTATION DES CGU

2.1 These Terms & Conditions aim at defining the conditions under which Users can use the Application and its Features.

2.2 The access and the use of the Application shall be subject to the acceptance of the Terms & Conditions.

2.3 Terms & Conditions are accepted by the User when, at the registration, he checks the box next to the following statement: « I have read and understood the terms and conditions of the application TAMALOU », thus manifesting his consent.

2.4 TAMALOU est libre de modifier les présentes CGU à tout moment, afin notamment de prendre en compte toute évolution légale, jurisprudentielle, éditoriale et/ou technique. L’Utilisateur sera informé de la modification des CGU par tout moyen tel que notamment : courrier électronique ou notification sur l’Application. En continuant à utiliser les Services après cette information, le Client sera réputé avoir accepté la modification des CGU.

2.5 The applicable terms and conditions are always available on the Application.

2.6 User is encouraged to print or download these Terms & Conditions and to keep them on a durable medium, for documentary, future reference and unchanged reproduction purpose.

 

3 DEFINITIONS

3.1 In the Terms & Conditions, terms and expressions identified with a capital lettre, either in the singular or plural, have the meaning assigned at the first use or in the following definition.

Application : means the application TAMALOU edited by TAMALOU, through which TAMALOU provides Features.

Room : means the group of Users surrounding the Care Receiver and using the Application on his behalf. The Room is managed by the user who created the Room.

Terms & Conditions : means all articles composing these Terms & Conditions of the application TAMALOU including its preamble and any annexes.

Personal Account: désigne le compte recensant l’ensemble des données renseignées par l’Utilisateur lors de son inscription et au cours de son utilisation de l’Application, comprenant notamment ses Identifiants, dont l'enregistrement est nécessaire pour accéder à l'ensemble des Fonctionnalités. 

Content: means information, data, texts, softwares, music, sounds, pictures,videos, messages or any other element which may be posted on line, generated, shared or desplayed by a User through the features.

Items of Intellectual Property: désigne les éléments constitutifs de l’Application, en ce compris les outils, informations, données, textes, logiciels, musiques, sons, photographies, images, vidéos, messages, bases de données, interfaces graphiques, sur lesquels TAMALOU est titulaire de droits de propriété intellectuelle.

Feature : means all or part of feature provided by TAMALOU to Users through the Application.

Login Name : means information about the User necessary to create a Personal Account, to be connected to the Application and to use the Features.

Party(ies) : means the User and TAMALOU, independantly (in the singular) or together (in the plural).

Care Receiver : means the care receiver of one Room.

Distinctive Signs : means brands, logo and domain names belonging to TAMALOU.

TAMALOU : means the company editor of the Application whose contact is shown in the Terms & Conditions header.

User : means any Personal Account holder.

4 CREATION OF A PERSONAL ACCOUNT

4.1 The Use of the Application requires the creation of a Personal Account.

4.2 During the creation of the Personal Account, User does not provide misleading information about his identity or constituting identity or image theft of a third party.  The User is committed to immediatly update, in case of any modification, data provided during his registration.

4.3 If the User provides misleading information about his identity, TAMALOU could immediately suspend or delete his Personal Account and refuse access to all or part of features, temporarily or definitely, without notice or compensation.

 

5 DESCRIPTION OF THE FEATURES

5.1 General points – The Application provided by TAMALOU aims at helping Users to organize and improve the caring of the Care Receiver, and reduce the organizational burden linked to this responsibility.

5.2 Features

5.2.1 « Private Room » – « Private Room » is the Feature through which Users of a same Ring of Caregivers can communicate written messages.

5.2.2 « Public Forum » – « Public Forum » is the Feature through which Users can communicate public written messages with all other Users of the Application.

5.2.3 « Email Reception » – « Email Reception » is the Feature through which a Ring of Caregivers can receive emails of the Care Receiver.

5.2.4 « Document Storage » – « Storage of Document » is the Feature through which Users can store online documents about the Care receiver and share access to those documents with other Users of a same Room.

5.2.4.1 The « Document Storage » feature is not a data archiving service: It is up to the User to make and archive a backup copy of documents stored through this Feature on another medium.

5.2.4.2 In case of loss of documents through the « Document Storage » Feature, the User acknowledges that TAMALOU’s liability could not be incurred.

5.2.4.3 Every Room has 100 Mo of storage space.

5.3 Beta features

5.3.1 Some Features can be provided with the mention « Beta » which means that there are being tested and evaluated. These Features may be less stable than other TAMALOU’s Features.

5.3.2 These Features could disappear.

5.4 Features evolution

5.4.1Technical and functional specification of these Features might change over time, particularly to take into account evolving technologies or Users’ needs.

5.4.2 During the whole use of the Application, the User agrees to download and install Application updates. If the User does not install the last available update of the Application, all or part of the Features may be unreachable.

5.4.3 If TAMALOU decides, for any reason whatsoever, to stop or suspend the providing of features, i twill inform the User by any means.

 

6 ECONOMIC CONDITIONS

6.1 TAMALOU provides the Application and Users can use its Features freely.

6.2 The User must have an internet connection on his device to use Features. The User has to bear the costs incurred for this internet connection. It is up to the User to obtain information about the amount of these costs from his operator.

6.3 The User gives TAMALOU the authorization to access Contents and exploit them for studies. For any exploitation of Contents shared by the User in a Room, TAMALOU will ask the express authorization of the User. The user is informed that within the framework of these studies, Contents are treated only in anonymous and aggregated form.

 

7 DURATION AND TERMINATION

7.1 The Application and the features are provided to the User by TAMALOU for an indefinite period.

7.2 Automatic termination – Given the free nature of the Application and the use of its Features, TAMALOU can terminate at any time, without prior notice or compensation, access to all or part of Features provided to Users.

7.3 Termination for disuse – The period of validity of a Personal Account is 360 days from the date of the last access to the Features from this Personal Account by the User holding this Account. After this time period and without prejudice to other stipulations of this article 7, TAMALOU could terminate the access to the Personal Account without prior notice or compensation.

7.4 Termination for default – In the case of failure by the User to these Terms & Condition or more broadly in the event of violation of existing laws and regulations, TAMALOU could terminate without prior notice or compensation, all or part of Features provided to the User. TAMALOU can terminate without prejudice to any damages it could claim for this failure, and any penalties due to it.

 

8 USER RESPONSABILITY

8.1 General points – Tout manquement de l’Utilisateur aux lois et règlements, à l’ordre public et aux bonnes mœurs, ainsi qu’aux CGU, sera susceptible d’entrainer le blocage ou la suppression par TAMALOU de son Compte Personnel et/ou de tout Contenu qu’il aura publié ou transmis au moyen des Fonctionnalités et/ou une restriction d’accès à tout ou partie des Fonctionnalités, de façon temporaire ou définitive, sans contrepartie ni indemnité et sans préjudice des recours susceptibles d'être ouverts à son encontre par TAMALOU ou toute personne ayant subi un préjudice en raison du Contenu publié ou transmis.

8.2 Personal use of the Application – L'Utilisateur s'interdit, sans que cette énumération puisse être considérée comme limitative, de détourner la finalité de l'une quelconque des Fonctionnalités ou d’utiliser les Fonctionnalités à des fins commerciales.

8.3Personal Account – Les Identifiants sont placés sous la responsabilité exclusive de l'Utilisateur, qui s'oblige à les conserver secrets et à ne pas les divulguer sous quelque forme que ce soit.

8.4 Every access to the Application, use of the Features and Content sharing done from the Personal Account of a User shall be deemed to have been made by this User.

8.5 Content Publication – By using the Features provided by the Application, the User can publish Content, or share Content with other users.

8.6 The User is informed that any Content he publishes (i) in a Room can only be viewed by the Ring of Caregivers; (ii) in a Public Forum can be viewed by every User of the Application.

8.7 The User takes full responsibility for every Content Publication he has made. The User is solely responsible for any damage he might cause to another User or any third party using the Features.

8.8 TAMALOU does not proceed to any verification of Contents before publication and cannot be held liable for Contents published or shared by a User.

8.9 The User guarantees that Contents he publishes or shares through the Application do not violate existing laws and regulations of the country from which he is using the Features or the country where these Contents are intended to be received, and do not cause any damage to any third party or violate in any way intellectual property rights of a third party.

8.10 For this, the user declares to be the holder of necessary rights and/or authorizations over Contents to publish or share them through the Application.

8.11 The User undertakes to ensure that any person appearing in Contents publishes and shares gave consent for the taking and the dissemination of his image.

8.12 The User guarantees TAMALOU against any potential claim from third party against it in case of violation of their rights, especially intellectual property, image and private life.

8.13 Notification of illegal Content – As host of Contents published by Users on Public Forums, and in accordance with article 6-I-7 of the law n°2004-575 of the 21st June 2004 of the Confidence in the Digital Economy Act called « CDEA », TAMALOU provides to Users a mechanism for reporting any Content which seems to be contrary to laws and regulations, especially making the apology of crimes against humanity or terrorism, incitement to terrorism, incitement to racial hatred, hatred towards people based on their sex, sexual orientation, sexual identity or disability, incitement to violence, especially against women, or including child pornography or violation of human dignity.

8.14 This reporting system is accessible through an icon located next to any published Content, with which any User can notify TAMAOU any Content which seems to go against the objective of the Application, the Terms & Conditions, public order or good morals, and laws and regulations.

8.15 According to the article of the CDEA above, TAMALOU will inform competent authorities about any of the illicit activities above reported by a User though this reporting system.

8.16 TAMALOU retains the right to control, reject, delete or block access to all or part of a Content against the objective of the Application, the Terms & Conditions, public order or good morals, and laws and regulations, without any compensation, and without prejudice to potential appeal against the User concerned.

 

9 USE OF FEATURES

9.1 Considering the free nature of the Application and the use of its Features, the User acknowledges that the Application and its Features are provided « as is » without any guarantee of conformity, availability, or regularity. No minimal level of quality is guaranteed.

9.2 Efforts will be made to ensure 24–7 access, except in case of force majeure or event beyond the control of TAMALOU and subject to maintenance periods, potential failure, technical contingencies linked to the nature of the internet or malicious acts, or harm done to TAMALOU’s equipment or software.

9.3 Access to the Features can be restricted, or impossible, according to the place from which the User is using the Features, for which TAMALOU cannot be held responsible.

9.4 TAMALOU does not give an expressed or implicit guarantee to continuity of Features, performance of Features, sustainability of Features, conformity, or compatibility of a Feature with a specific use, quality of Features.

9.5 TAMALOU could not be held responsible for any interruption of a Feature, for whatever reason, duration, or frequency.

9.6 The User acknowledges that the information transmission speed does not depend on TAMALOU, but inherent characteristics of electronic communication network and technical characteristics of its connection mode (3G, 4G, etc.).

9.7 TAMALOU does not provide any personalized assistance, or « hot line ». Users can send remarks on the Application to TAMALOU through the contact address, although this does not impose on TAMALOU any obligation to process or answer.

9.8 TAMALOU could not be held responsible for any use of the Features by Users and potential damages which may result for the User or third parties.

9.9 TAMALOU could not be held responsible for the creation, the modification, the deletion, or the receipt, emission, transmission, or storage default of Users’ Contents.

 

10 PERSONAL DATA AND SECURITY

10.1 TAMALOU undertakes to respect existing regulations relating to the protection of personal data and takes every useful precaution to ensure the security of personal data processed in the context of the use of Features provided on the Application.

10.2 TAMALOU’s policy regarding the protection of personal data processed in the context of the Application use is available at: https://www.tamalou.io/data.

10.3 To prevent any security incident or to face any threat or vulnerability situation, TAMALOU implements the following security measures:

·Secure authentication system;

·Hosting Users’ data and Contents by a certified provider for health data with an integrated security system;

·Reading of Users’ Emails from the User’s message server through a secure protocol, except for any email copy in the data base of the Application.

·Encryption of messages, images and documents sent by Users in Rooms' conversation.

 

11 INTELLECTUAL PROPERTY

11.1 TAMALOU is the sole holder of every intellectual property rights attached to the Application and the Features in their whole and into all their constituent parts.

11.2 Terms & Conditions does not confer any transfer of intellectual property upon elements of intellectual property and distinctive signs to the User.

11.3 En conséquence, toute reproduction ou représentation, intégrale ou partielle, des Éléments de Propriété Intellectuelle et/ou Signes Distinctifs est interdite de même que leur altération. À ce titre, il est notamment interdit à l’Utilisateur d’adapter, arranger, modifier, corriger, décompiler, associer, traduire en toutes langues ou tous langages, mettre sur le marché à titre gratuit ou onéreux, commercialiser tout ou partie des Éléments de Propriété Intellectuelle et/ou Signes Distinctifs, quels qu’en soient le moyen et le support.

11.4 TAMALOU accorde seulement à l’Utilisateur, à titre personnel et gracieux, une licence non exclusive et non cessible sur l’Application, pour la seule utilisation de l’Application et des Fonctionnalités et dans le cadre d'une utilisation à titre privé et non commercial de cette Application et de ces Fonctionnalités.

11.5 The User undertakes not to access the Features by means other than the interface provided by TAMALOU.

11.6 In case of inappropriate or abusive use of elements of intellectual property and/or Distinctive Signs, TAMALOU reserves the right to have recourse to any appropriate legal remedies to put an end to infringement of the intellectual property rights.

11.7 The User grants TAMALOU free, non-exclusive, and transferable license to any Content he publishes on the Application to conduct studies. This license is granted for the entire world and the entire duration of use, plus one year from the termination of the Personal Account, for any reason.

 

12 CONVENTION OF PROOF

12.1 Parties agree that any computer record stored in the information system of TAMALOU (files, log, etc.) or copied on any IT support will be used as evidence in case of dispute or legal proceeding.

 

13 DISPUTES

13.1 Terms & Conditions are governed by the French law without standing in the way of protective mandatory rules of law of the consumer’s country of residence.

13.2 IN CASE OF DISPUTE BETWEEN TAMALOU AND A CONSUMER USER ARISING FROM VALIDITY, INTEPRETATION, EXECUTION, NON-EXECUTION, INTERRUPTION, OR TERMINATION OF THE TERMS & CONDITIONS, AND IN THE ABSENCE OF SUCH PRIOR SETTLEMENT, THE USER CAN BRING HIS ACTION BEFORE THE MEDIATOR CM2C, 14 rue Saint Jean 75017 Paris.

13.3 IF THE LITIGATION PERSISTS BETWEEN TAMALOU AND THE USER, THE LITIGATION IS BROUGHT BEFORE ONE OF THE LOCAL COMPETENT JURISDICTIONS, UNDER THE OCDE OF CIVIL PROCEDURE; USER CAN ALSO TAKE IT BEFORE THE JURISDICTION IN HIS PLACE OF RESIDENCE WHEN HE AGREED ON THE TERMS & CONDITIONS OR WHEN THE HARMFUL EVENT OCCURRED.
